1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "Client"), and Aifficiency Inc. ("Aifficiency", "we", "us", or "our"), concerning your access to and use of our AI automation services (the "Services"). You agree that by accessing or using the Services, you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

2. Description of Services

Aifficiency provides AI-powered automation solutions designed to streamline business processes, including but not limited to website lead capture, automated appointment scheduling, automated client reminders, standardized quote generation, automated invoicing, and intelligent document parsing. The specific scope of Services provided to you will be outlined in a separate service agreement or order form, if applicable.

3. Client Obligations

As a Client of Aifficiency, you agree to:

  • Use the Services in compliance with all applicable local, provincial, national, and international laws and regulations.
  • Provide accurate, current, and complete information as required for the provision of Services and maintain the accuracy of such information.
  • Be solely responsible for all data, information, and content you provide or transmit through the Services ("Client Data"). You represent and warrant that you have all necessary rights to use and share Client Data in connection with the Services.
  • Maintain the confidentiality of any account credentials associated with your use of the Services and be responsible for all activities that occur under your account.
  • Not use the Services for any illegal or unauthorized purpose, nor to violate any laws in your jurisdiction.

4. Aifficiency's Commitments

Aifficiency commits to:

  • Provide the Services with reasonable care and skill, in accordance with industry standards.
  • Offer support for the Services as detailed on our website or in your service agreement.
  • Implement and maintain appropriate technical and organizational measures to protect the security of Client Data, as outlined in our Data and Security Policy.

5. Intellectual Property Rights

  • Aifficiency IP: The Services, including all underlying software, technology, platforms, proprietary algorithms, documentation, and Aifficiency branding, are the exclusive property of Aifficiency Inc. and its licensors. These Terms do not grant you any rights to Aifficiency's intellectual property except for the limited right to use the Services as expressly permitted herein.
  • Client Data: You retain all ownership rights to your Client Data. You grant Aifficiency a worldwide, non-exclusive, royalty-free license to use, process, reproduce, display, and transmit Client Data solely to the extent necessary to provide and improve the Services.

6. Confidentiality

Each party agrees to treat all non-public information received from the other party that is marked as confidential or reasonably should be understood to be confidential ("Confidential Information") with the same degree of care as it uses to protect its own Confidential Information, but in no event less than reasonable care. Confidential Information will not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law or as necessary to perform obligations under these Terms (e.g., to subcontractors bound by similar confidentiality obligations).

7. Fees and Payment

Fees for the Services will be as set forth on our Pricing page or as otherwise agreed upon in a separate service agreement. You agree to pay all applicable fees in a timely manner. All fees are non-refundable except as expressly stated otherwise. Aifficiency reserves the right to change its fees upon reasonable notice.

8. Term and Termination

  • Term: These Terms shall remain in full force and effect while you use the Services.
  • Termination by You: You may terminate your use of the Services at any time, subject to any specific terms in your service agreement.
  • Termination by Aifficiency: We may suspend or terminate your access to the Services, in our sole discretion, at any time and for any reason, including for breach of these Terms, with or without notice.
  • Effect of Termination: Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive (including, without limitation, intellectual property provisions, confidentiality, disclaimers, limitations of liability, and governing law).

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. AIFFICIENCY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AIFFICIENCY OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO AIFFICIENCY FOR THE SERVICES IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Aifficiency, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any intellectual property or privacy right; or (iv) any claim that your Client Data caused damage to a third party.

12. Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

13. Amendments to Terms

We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
